Terms of Service

1. Agreement to These Terms
By accessing or using the Digital Squad website at digitalsquad.com (the "Site"), or by engaging Digital Squad Pte. Ltd. ("Digital Squad", "we", "us") for services, you ("Client", "you") agree to these Terms of Service.
These Terms govern website use and form part of the basis of any formal engagement. Specific client engagements are governed by a separate Service Agreement or Statement of Work ("SOW"), which takes precedence over these Terms where there is conflict.
2. Our Services
Digital Squad provides digital marketing and AI services including, but not limited to: paid advertising management, SEO, content marketing, conversion rate optimisation, marketing automation, data analytics, automation, and AI development.
The specific scope, deliverables, timelines, and fees for your engagement are defined in your SOW. Nothing on this website constitutes a binding offer or guarantee of specific results.
3. No Guarantee of Results
Marketing outcomes are influenced by factors beyond our control, including market conditions, competition, platform algorithm changes, and client-side variables. While we apply best-practice methodologies and our full expertise to every engagement, Digital Squad does not guarantee specific outcomes including traffic volumes, lead quantities, conversion rates, or revenue targets unless expressly stated in a signed SOW.
4. Client Obligations
You agree to:
- Provide accurate, complete, and timely information required for us to deliver services
- Grant necessary access to advertising accounts, analytics, CMS, or other platforms
- Review and approve materials within agreed timelines (delays may affect delivery schedules)
- Ensure you have the right to use any creative assets, trademarks, or content provided to us
- Comply with all applicable advertising platform policies and laws
5. Intellectual Property
Work Product: Upon receipt of full payment, all custom deliverables created specifically for your engagement (ad copy, content, reports) become your property, unless otherwise stated in the SOW.
Pre-Existing IP and Tools: Digital Squad retains all rights to its proprietary methodologies, frameworks, AI tools, templates, and processes used in the delivery of services. These are not transferred to clients.
Third-Party Assets: Any third-party assets (stock images, licensed fonts, platform-provided tools) are subject to their respective licence terms. Client is responsible for ensuring continued compliance with those licences.
6. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or commercially sensitive information disclosed during the engagement. This obligation survives termination of the engagement for a period of 3 years.
This does not apply to information that: (a) is or becomes publicly available through no breach of this agreement; (b) was already known to the receiving party; or (c) is required to be disclosed by law or regulatory order.
7. Fees and Payment
Fees are specified in your SOW or proposal. Unless otherwise agreed:
- Retainer fees are invoiced monthly in advance
- Project fees follow the payment schedule in the SOW
- Invoices are due within 14 days of issue
- Late payments may incur interest at 1.5% per month
- Digital Squad reserves the right to pause or suspend services for accounts more than 30 days overdue
Third-party ad spend (Google, Meta, etc.) is paid directly by the client or via a pre-authorised budget held by Digital Squad, as specified in your SOW. Ad spend is not included in agency fees unless explicitly stated.
8. Website Use
Permitted Use: The Site is provided for informational purposes. You may not use it to scrape content, submit false information, attempt unauthorised access, or distribute malware.
Accuracy: We take reasonable care to ensure content on the Site is accurate and current, but make no warranty regarding its completeness or accuracy.
Availability: We do not warrant that the Site will be available at all times or free from errors. We reserve the right to modify, suspend, or discontinue the Site without notice.
9. Limitation of Liability
To the maximum extent permitted by law:
- Digital Squad's total liability for any claim arising from services or use of the Site is limited to fees paid by you in the 3 months preceding the claim
- Digital Squad is not liable for indirect, consequential, incidental, or special damages, including lost profits, loss of data, or loss of business opportunity, even if advised of the possibility of such damages
Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
10. Indemnification
You agree to indemnify and hold harmless Digital Squad, its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from: your breach of these Terms; your use of the Site in violation of any law; or any content or materials you provide to us that infringe third-party rights.
11. Termination
Either party may terminate a service engagement by providing written notice per the terms of the relevant SOW (typically 30 days). On termination:
- Fees accrued up to the termination date remain payable
- Digital Squad will provide reasonable transition assistance
- Each party will return or destroy confidential information of the other party
12. Third-Party Platforms
Our services involve operating within third-party platforms (Google, Meta, LinkedIn, etc.). We are not responsible for changes to these platforms' policies, algorithms, pricing, or availability, and such changes do not constitute grounds for refund or termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Singapore Mediation Centre, or if mediation fails, to the courts of Singapore.
14. Modifications
We reserve the right to update these Terms at any time. Updates will be posted on this page with a revised effective date. Continued use of the Site or engagement of services after posting constitutes acceptance of the updated Terms.
